8.01 OTHER EVENTS.
On March
8, 2010, Charter Communications, Inc. (the "Company"), the
indirect parent company of CCO Holdings, LLC and CCO Holdings Capital
Corp., announced that its indirect subsidiary, Charter
Communications Operating, LLC, was seeking consent of lenders to amend its
existing $8.177 billion senior secured credit facilities to, among other things,
extend maturities of a portion of the facilities and amend certain other terms
and conditions. The Company expects to complete the amendment and
restatement of the facilities in the middle of March 2010, subject to meeting
customary conditions.
