ITEM 9. REGULATION FD DISCLOSURE.

Charter Communications, Inc. today announced that its indirect subsidiaries, Charter Communications Operating, LLC and Charter Communications Operating Capital Corp., have closed on the issuance of $1.1 billion 8% Senior Second Lien Notes due 2012 and $400 million of 8-3/8% Senior Second Lien Notes due 2014, (collectively, the Notes) for estimated gross proceeds of $1.5 billion in a private transaction.

Charter Operating used the net proceeds from the sale of the Notes, together with increased borrowings under its amended and restated Charter Operating credit facilities, to refinance the indebtedness under the credit facilities of its subsidiaries, CC VI Operating Company, LLC, Falcon Cable Communications, LLC and CC VIII Operating, LLC. The entirety of the press release appearing in Exhibit 99.1 hereto is not filed but is furnished pursuant to Regulation FD.

CHARTER COMMUNICATIONS CLOSES

$1.5 BILLION SENIOR NOTES OFFERING

ST. LOUIS - Charter Communications, Inc. (NASDAQ: CHTR - the Company) today announced that its indirect subsidiaries, Charter Communications Operating, LLC (Charter Operating) and Charter Communications Operating Capital Corp., have closed on the issuance of $1.1 billion 8% Senior Second Lien Notes due 2012 and $400 million of 8-3/8% Senior Second Lien Notes due 2014 (collectively, the Notes), for estimated gross proceeds of $1.5 billion in a private transaction.

Charter Operating used the net proceeds from the sale of the Notes, together with increased borrowings under its amended and restated Charter Operating credit facilities, to refinance the indebtedness under the credit facilities of its subsidiaries, CC VI Operating Company, LLC, Falcon Cable Communications, LLC and CC VIII Operating, LLC.

The Notes were sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes will not be registered under the Securities Act of 1933, as amended (the Securities Act), and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
