ITEM 5.02(b). DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On January 27, 2005, Charter Communications, Inc. (the "Company"), the indirect parent company and manager of Renaissance Media Group LLC, Renaissance Media (Louisiana) LLC, Renaissance Media (Tennessee) LLC and Renaissance Media Capital Corporation, announced that Charles M. Lillis had informed the Company of his intention to resign from its Board of Directors. Mr. Lillis had been a Director of the Company since October 2003 and was a member of several committees of the Company's Board, including the Audit Committee. Mr. Lillis' resignation became effective on March 28, 2005.
