     This Amendment No. 4 amends and supplements the Tender Offer Statement on Schedule TO filed on January 20, 2004, as amended by Amendment No. 1 filed on February 9, 2004, Amendment No. 2 filed on February 12, 2004 and Amendment No. 3 filed on February 13, 2004 (the “Tender Offer Statement”) relating to the offer by Charter Communications, Inc., a Delaware corporation (the “Company”) to exchange certain outstanding options having an exercise price of more than $10.00 per share for shares of Restricted Stock or cash, upon the terms and subject to the conditions set forth in the Offer to Exchange (the “Offer to Exchange”) and the related Election Agreement, copies of which were attached as exhibits to the Tender Offer Statement.
